1. Agreement Overview
This End User License Agreement (“EULA”) is a legal agreement between you and AcquiMerge LLP We governing your access to and use of our Platform and Services — including our web and mobile interface, communication tools, document management, advisor engagement system, deal management features, and related services offered for mergers, acquisitions, and investment activities.
By accessing, registering, or using our Platform and Services, you agree to be bound by the terms of this EULA. If you do not agree, do not access or use the Platform.
2. Grant of License
Subject to your compliance with this EULA, AcquiMerge grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Services solely for your internal business purposes related to M&A deal sourcing, investment discovery, advisory engagement, and associated transaction activities.
You may not:
Resell, sublicense, or redistribute the Platform or Services
Reverse engineer, decompile, or replicate any part of the Platform
Use the Platform or Services for unlawful or unauthorized purposes
Circumvent secure areas, non-disclosure protocols, or access control mechanisms
3. Eligibility
You must be at least 18 years old and legally authorized to enter into this agreement. You agree to provide accurate and truthful information and are solely responsible for the security and usage of your account.
4. User Data and Confidentiality
The Platform and Services may involve the submission, sharing, and review of confidential business, financial, and legal materials. You agree that:
You are the rightful owner or authorized user of any data or documents you upload.
You will honor confidentiality rules and NDAs applicable to the parties involved.
You will not disclose or misuse information accessed through the Platform without explicit authorization.
Use of personal and business information is governed by our [Privacy Policy].
5. Use Restrictions
You shall not:
Upload misleading or fraudulent information
Interfere with system security or other users’ access
Attempt unauthorized access to restricted sections
Upload viruses, scripts, or automation tools
6. Intellectual Property Rights
All intellectual property rights related to the Platform and Services, including branding, data models, user interface, documentation, algorithms, and design elements, remain the sole property of AcquiMerge LLP. You may not copy, alter, or distribute our content without written permission.
7. Disclaimers
The Platform and Services are provided "as is" without warranties of any kind, express or implied.
AcquiMerge does not guarantee the outcome of any deal, negotiation, or investment facilitated through the Platform.
Users are solely responsible for their own decisions, agreements, and due diligence.
8. Limitation of Liability
To the maximum extent permitted by law, AcquiMerge LLP shall not be liable for:
Any indirect, incidental, or consequential damages
Loss of data, investment opportunities, or business disruption
Any errors, delays, or technical issues beyond our control
Our total liability shall not exceed any fees paid by you to us in the past 12 months.
9. Compliance and Legal Use
You agree to comply with:
Indian Information Technology Act, 2000 and SPDI Rules
Applicable U.S. laws (e.g., CCPA, AML, SEC regulations)
EU GDPR and cross-border data protection requirements
You will not use the Platform or Services in violation of export control laws, financial regulations, or industry-specific restrictions.
10. Termination
AcquiMerge reserves the right to suspend or terminate your access at any time for:
Breach of this Agreement
Inactivity or suspicious activity
Regulatory restrictions or misuse of the Platform
Upon termination, your right to use the Platform and Services immediately ceases.
11. Jurisdiction and Governing Law
This Agreement shall be governed by the laws of:
India for Indian and Asian users
Delaware, USA for North American users
Ireland for EU and UK users (GDPR zone)
All disputes shall be subject to jurisdiction in the above regions or resolved through arbitration as applicable.
12. Modifications
We reserve the right to modify this EULA at any time. Major changes will be communicated through the Platform or by email. Continued use indicates your acceptance of the updated terms.
